Terms of Service
These Terms of Service (hereinafter referred to as "these Terms") define the terms of use for the online shop (hereinafter referred to as "the Service") provided on this website by Tokushima Shiitake Farm (hereinafter referred to as "the Shop"). All registered users (hereinafter referred to as "Users") shall use the Service in accordance with these Terms.
Article 1 (Application)
These Terms shall apply to all relationships between the User and the Shop concerning the use of the Service.
The Shop may establish various rules or provisions (hereinafter referred to as "Individual Provisions") regarding the use of the Service in addition to these Terms. Regardless of their names, these Individual Provisions shall constitute a part of these Terms.
If the provisions of these Terms conflict with the Individual Provisions set forth in the preceding paragraph, the Individual Provisions shall prevail unless otherwise specified.
Article 2 (User Registration)
To use the Service, a prospective registrant must agree to these Terms and apply for user registration in accordance with the method prescribed by the Shop. The user registration shall be completed upon the Shop's approval and notification to the applicant.
The Shop may refuse to approve the user registration application if it determines that the applicant falls under any of the following circumstances, and the Shop shall not be obliged to disclose the reason:
- If false information was provided in the user registration application
- If the applicant has previously violated these Terms
- If the Shop deems the user registration inappropriate for any other reason
Article 3 (Management of User ID and Password)
Users shall manage their User ID and password for the Service under their own responsibility.
Under no circumstances may Users transfer or lend their User ID and password to third parties, or share them with third parties. The Shop shall consider any login using a combination of User ID and password that matches the registered information as the use by the User who registered the User ID.
The Shop shall not be liable for any damages resulting from the use of the User ID and password by a third party unless the Shop is found to have acted with intent or gross negligence.
Article 4 (Sales Contract)
In the Service, a sales contract shall be deemed concluded when the User makes a purchase application to the Shop, and the Shop accepts and notifies the User of such application. The ownership of the product shall be transferred to the User when the Shop hands over the product to the shipping carrier.
The Shop may cancel the sales contract without prior notice to the User if the User falls under any of the following circumstances:
- If the User violates these Terms
- If the product cannot be delivered due to an unknown delivery address or prolonged absence
- If the trust relationship between the Shop and the User is deemed to have been impaired
The payment methods, delivery methods, order cancellation methods, and return methods for the Service shall be determined separately by the Shop.
Article 5 (Intellectual Property Rights)
The copyright and other intellectual property rights related to the product photos and other content (hereinafter referred to as "Content") provided through the Service shall belong to the Shop or the legitimate rights holders, such as the Content providers. Users shall not reproduce, transmit, modify, or otherwise use the Content without permission.
Article 6 (Prohibited Acts)
Users shall not engage in the following acts when using the Service:
- Acts that violate laws or public order and morals
- Acts related to criminal activities
- Acts that infringe the intellectual property rights, such as copyrights or trademark rights, of the Service
- Acts that destroy or interfere with the functionality of the Shop's servers or networks
- Commercial use of information obtained through the Service
- Acts that may interfere with the operation of the Shop's services
- Unauthorized access or attempts to gain unauthorized access
- Collecting or accumulating personal information of other Users
- Impersonating other Users
- Providing benefits directly or indirectly to anti-social forces in relation to the Shop’s services
- Any other acts deemed inappropriate by the Shop
Article 7 (Suspension of Service Provision)
The Shop may suspend or interrupt the provision of all or part of the Service without prior notice to the User if it determines any of the following:
- When performing maintenance or updates on the computer system related to the Service
- When the provision of the Service becomes difficult due to force majeure, such as earthquakes, lightning, fires, power outages, or natural disasters
- When the computer or communication lines are stopped due to an accident
- When the Shop deems it difficult to provide the Service
The Shop shall not be liable for any disadvantages or damages suffered by the User or third parties due to the suspension or interruption of the Service, regardless of the reason.
Article 8 (Usage Restrictions and Registration Cancellation)
The Shop may restrict the use of all or part of the Service or cancel the User's registration without prior notice if the User falls under any of the following circumstances:
- If the User violates any provision of these Terms
- If false information is found in the registration details
- If the credit card registered by the User as a payment method is suspended
- If there is a default in payment obligations such as fees
- If the Shop receives no response for a certain period after contacting the User
- If the User has not used the Service for a certain period since the last use
- If the Shop deems the use of the Service inappropriate for any other reason
The Shop shall not be liable for any damages incurred by the User as a result of actions taken by the Shop under this article.
Article 9 (Withdrawal)
Users may withdraw from the Service through the prescribed withdrawal procedure.
Article 10 (Disclaimer of Warranties and Limitation of Liability)
The Shop does not warrant that the Service is free from factual or legal defects (including defects related to safety, reliability, accuracy, completeness, effectiveness, suitability for a particular purpose, security, etc., errors, bugs, and rights infringements).
The Shop shall not be liable for any damages incurred by the User arising from the Service. However, if the contract between the Shop and the User regarding the Service (including these Terms) constitutes a consumer contract as defined in the Consumer Contract Act, this disclaimer shall not apply. However, even in this case, the Shop shall not be liable for any special damages arising from the Shop's negligence (excluding gross negligence) or for damages that arise due to special circumstances, regardless of whether the Shop or the User foresaw or could have foreseen such damages.
The Shop shall not be liable for any transactions, communications, or disputes that arise between the User and other Users or third parties regarding the Service.
Article 11 (Changes to Service Content, etc.)
The Shop may change the content of the Service or discontinue the provision of the Service without notifying the User and shall not be liable for any damages incurred by the User as a result.
Article 12 (Changes to the Terms of Service)
The Shop may change these Terms at any time if deemed necessary without notifying the User. If the User starts using the Service after changes to these Terms, the User shall be deemed to have agreed to the revised Terms.
Article 13 (Handling of Personal Information)
The Shop shall handle personal information obtained through the use of the Service appropriately in accordance with the Shop's "Privacy Policy."
Article 14 (Notices and Communications)
Notices or communications between the User and the Shop shall be conducted in the manner prescribed by the Shop. Unless otherwise specified, the Shop shall consider the contact details currently registered to be valid and shall send notices or communications to such contact details, which shall be deemed to have reached the User upon dispatch.
Article 15 (Prohibition of Assignment of Rights and Obligations)
The User may not assign or pledge as security their contractual status or rights and obligations under these Terms to a third party without the prior written consent of the Shop.
Article 16 (Governing Law and Jurisdiction)
These Terms shall be governed by and construed in accordance with the laws of Japan. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
In the event of any disputes arising in connection with the Service, the exclusive jurisdiction shall be the courts having jurisdiction over the location of the Shop's head office.
